Structure of Panama Teleport Group

The high standards of specialization and the need for maximum efficiency demand the adoption of a flexible organization structure that can evolve at the same rate as the growth rate of the teleport's operations. In addition, the diversity of the services to be offered requires the adoption of a decentralized model. Therefore, the overall operation of the zone will be handled by a group of companies affiliated with Panama Teleport Corp.

The group is structured as follows:

Panama Teleport Corporation

This corporation, founded in 1986, has been responsible for the conception, design, and promotion of the project. It will be responsible for the operation of the zone and its overall development. As the main firm, it will be in charge of organizing and directing the services offered to the customers.

Inmobiliaria Telepuerto, S.A.

It is responsible for teleport’s real estate transactions. The administration of the real estate portfolio of the zone is controlled by Panama Teleport Corp.

Technopolis Engineering Inc.

Its responsibility is the job of designing and developing the plans that were formulated by Panama Teleport Corp. It is presently in charge of field work (measuring, ground clearing, earth movement, zoning, etc.) that are now being performed on the lands owned by the zone. It will also be responsible for the construction and maintenance of infrastructures, buildings and installations. It will be in charge, initially, of the design, installation, and maintenance of the climate control system. At the proper time these duties will be transferred to a specialized firm to be created for this purpose. Its production responsibilities will not only be limited to construction of infrastructures and buildings, but will also produce some basic raw materials, such as pre-mixed concrete, tiles, building blocks, etc. This is absolutely necessary as a mean of substantially reducing construction costs.

Saint George International University/ Panama Institute of Science & Technology

Both institutions are being organised under the quality standards of institutes and universities of the United States of America. The objective is to obtain the acreditation from the Southern Association of Universities, Colleges and Schools of the U.S.A.

Some of the training, academic and research activities will be developed in association with universities, colleges, institutes and research centers from the U.S.A., Europe and other developed countries.

It will provide services locally and internationally,with five basic functions:

World Electronic Import/Export Network,Inc.

It's a comprehensive and integrated electronic import-export market, in process of development. Importers, exporters, freight forwarders, banks, insurance companies and every actor involved in the import-export process will be able to meet and to interact formally and safely in order to acomplish international trade transactions.

Human Resources R&S Inc.

This firm will be responsible for the recruitment and selection of local personnel. Other responsibilities include the formation and administration of a permanent database inventory of human resources in all areas of labor and professional activity. This service will be available to all firms. It will design, adopt, improve and manage a scientific personnel selection system.

Panama Electronics Corporation

It is conceived as a specialized center for the repair and maintenance of all kinds of electronic equipment and instruments, including telecommunication equipment, cybernetic and robotics. Its first activity will be the development of the necessary technological ability that will be required to repair and maintain the electronic equipment, security and control instruments, telecommunication and computer systems that will be installed. Panama Teleport Corp. will negotiate agreements with the manufacturers of the electronic equipment it acquires, so as to provide Panama Electronics Corporation with the necessary technical know-how and a permanent updating system.

Teleport Insurance Company

This company will manage insurance policies as well as retirement funds for personnel employed by our clients. It will also provide and manage the insurance on equipment, buildings, instruments, inventories, transportation, etc., that will be needed in day-to-day operations.

Security & Safety Services Inc.

This company will provide a permanent security guard staff, which will control entrances and exits of the zone. Individual buildings will be protected with CCTV systems, centralized intrusion alarm systems, and fire alarm reporting systems. These services will be available at the beginning of the operational phase.

The first service, in the area of security, will be the permanent private security guard staff. Next will be the fire prevention and control system. The rest of the services will be incorporated depending on the expansion of the zone's activities. Security and Safety Inc. will be established in order to assume full responsibility of administering and rendering these services.

Environment Management Inc.

It will be in charge of sewage treatment plants, garbage processing and recycling, the control of contamination levels, and the conservation of the environment at levels of highest quality.

Informatic Center Inc.

This firm will be established to offer the following services: data base, data processing, data collection, and translation, adoptions and production of software. It will also place to the disposition of customers, the rental of computer data-storage, time, and software for their administrative and operational activities.

Panama Teleport Telecommunications Inc.

This firm will be established as one of the pillars of attraction and operation of the zone. It will develop and operate the private telecommunication system, for the efficient commercialization of export goods and services produced. The development and supply of hi-tech services, such as telematic systems, depend exclusively on the establishment and operation of this type of telecommunication system.

This enterprise should become a joint venture between Panama Teleport Corp. and a renowned telecommunication firms from Europe, the United States, Canada, Taiwan or Japan.

Teleport Power Suppy Inc.

The establishment and operation of a power generation plant and associated electrical distribution systems will be vital, as the commercially available power is unreliable. Commercial power provided by IRHE ( the government's hydro-electric institute) is plagued with unacceptable power interruptions and/or power surges. In addition, it is doubtful if IRHE would be able to provide 70 megawatts of power required for Teleport's full development stage.

This firm will be developed as a Joint Venture between Telepuerto Panamá, investors, and specialized firms from industrialized countries. The first stage of this plant project consists of a 10MW generation capacity.

W.I.N. Travel Services Inc.

The purpose is to ensure the services of a travel agency for personnel involved in the activities of the zone. It will also accomplish the role of a promoter mobilizing international investors, businessmen, executives, merchants, buyers, etc., to and from the zone.

Cargo M-T-W Inc.

This firm will assure a prompt and efficient handling of air / land / sea cargo to and from the zone.

Comfort Services Inc.

This firm will organize and manage recreational, health and food services such as: cafeterias, restaurants, beauty parlors, health care and fitness centers, a shopping center, etc., exclusively for the employees and residents of the Zone.

Panama Teleport Hotel Inc.

The presence of a first class hotel, within the zone, plays an important role in the success of Panama Teleport operations. The objectives are to provide visitors with a very comfortable and business oriented accommodation, that is adjacent to their business location and the airport. The hotel facilities will include 400 guest rooms, gourmet restaurant, conference/banquet room, discotheque, cafeteria, casino, bar, snack bar, fitness room, swimming pool, and tennis court. Panama Teleport Hotel Inc. will own the only hotel of the Zone. This corporation will be conceived as a joint venture to be incorporated with the 20% participation of Panama Teleport Corp. and the 80% of a renowned international hotel chain.

Panama Teleport Hospital

One of the greatest concerns of companies, interested in establishing operations in an export processing zone outside their countries, is the availability of health care for high-level executives that should be transferred to the zone. A hi-tech oriented hospital has been included as one of the most important features offered by the zone to satisfy this basic need. Due to its high cost of construction and operation, the hospital´s dimensions have been conceived to serve a regional market: Central and South America and the Caribbean countries. The pre-design includes a capacity for 400 beds, 8 surgery rooms, radiology, laboratories, research units, intensive care, physical therapy, emergency unit, obstetrics, etc. Panama Teleport will play a minor role in this company.

Intercontinental Stock Exchange of Panama Inc.

The requirements of investment and working capital of companies, looking into developing operations in export processing zones, is a very important aspect that should be attended. Panama Teleport will provide the space, the equipment and the basic facilities to promote the creation of an intercontinental electronic stock exchange to resolve this fundamental requirement.

The promotional efforts will be addressed to financial institutions, banks, renowned securities brokers, renowned stock exchanges, all from industrialized countries, that may be interested in creating and operating an innovative stock exchange --located in a very strategic position.

The complete application of the tax free zone concept to the securities market operations within the EPZ`s accorded by the Panamanian law, added to the presence of the international banking center with over 125 banks, the strict regulations for stocks exchanges in Panama and the advanced & private telecommunication system to be developed, provide a sound foundation to achieve this special project.

The market for this particular stock exchange ranges across INCUBATOR Programs of Free Trade Zones, Teleports and Export Processing Zones worldwide, as well as, big companies from industrialized countries trying to reduce their tax costs, and medium and small companies without opportunities to access huge stock exchanges like New York, London and Paris.

World Investment Exchange Network Inc.

This enterprise will be organized as a promoter of a venture capitals market . Its main purpose is to serve as a direct link between investors and project promoters.

Two basic mechanisms will be used to accomplish the firm’s goals: 1. The zone’s telematic media: this resource will enable the development of an international network that will facilitate direct contacts. 2. The American Continent’s Open Market of Investments and Projects: this annual fair, to be celebrated inside the zone, will promote and facilitate personal contact between investors and project promoters. Project promoters will have the opportunity to formally present their specific investment ideas to investors. During this fair, project promoters and investors will be able to take the necessary actions to begin the development of their projects. The firm’s constitution and manner of operating respond to the fundamental objective of transforming the zone into a true and permanent international market of goods, services, and all types of legal transactions.


Administrative Organization:

The project’s execution and the zone’s operation, once they begin, is based on an administrative organization oriented towards the simplification and decentralization of operational dynamics. This administrative organization follows a framework of functional coherence and coordination.

The zone’s administrative organization is represented by the enterprise Telepuerto Panamá, S.A. At the initial phases of the project, all the administrative and operative functions will be executed by this enterprise.

The directive nucleus is logically composed of: the stockholder’s assembly, the board of directors and the executive office. All operations of the enterprise will be done through two specific departments: the Administrative Department, and the Planning & Development Department.

The Administrative Department will be in charge of all duties related to the management of activities for or resulting from the execution of the project and the zone’s operations, which include finance, accounting, purchasing, inventory management, and debt management. During early stages, the Administrative Department will also be in charge of services that include: security, and garbage collection and processing.

The Planning & Development Department will concentrate in creating designs and blueprints; carrying on expansion studies; laying down provisions; studying and developing high-technology applications for the zone’s operations; studying short, medium and long term necessities; and all other research and planning activities required for an efficient urban development of the zone.

As the zone and its activities expand, the administrative organization will also expand. The organization chart, in the following page, shows the administrative organization at an advanced stage. The zone’s administrative organization will include five divisions: Finance Division, Administrative Division, Operations Division, Marketing Division, and Planning & Development Division. Each one of these divisions will be exclusively in charge of its functional activities, under the supervision of the executive office. Since all operation activities will be executed and managed by companies affiliated to Telepuerto Panama S.A., the Operations Division will be in charge of maintaining the connection and coordination of the affiliated companies and the main firm.

As a final aspect of the organization’s development, the Administrative Division will be in charge, on a permanent basis, of studies related to the zone’s administrative structure. This has been established in order to adapt the zone’s administrative structure to the zone’s quantitative and qualitative evolution.
